By accepting these terms and conditions you agree to be bound by them.
Termination Clause
Upon termination of this agreement TAHM shall refund subscribing members any prepaid fees covering the remainder of the term of all subscriptions after the effective date of termination except for cause by TAHM in which case the member shall pay any unpaid fees covering the remainder of the term after the effective date of termination. In any case no termination will relieve the subscribing member of the obligation to pay any fees payable to TAHM for the period prior to the effective date of termination.
Force Majeure
Act of God (such as, but not limited to, fires, explosions, earthquakes, drought, tidal waves and floods)
War, hostilities (whether war be declared or not), invasion, act of foreign enemies, mobilisation, requisition, or embargo.
Rebellion, revolution, insurrection, or military or usurped power, or civil war.
Riot, commotion, strikes, go slows, lock outs due to pandemics or disorder.
Acts or threats of terrorism.
Consequences of Force Majeure Event
Neither the subscribing member nor TAHM shall be considered in breach of this Contract to the extent that performance of their respective obligations (excluding payment obligations) is prevented by an Event of Force Majeure that arises after the Effective Date.
The Party (the “Affected Party”) prevented from carrying out its obligations hereunder shall give notice to the other Party of an Event of Force Majeure upon it being foreseen by, or becoming known to, the Affected Party.
If and to the extent that TAHM is prevented from executing the Services by the Event of Force Majeure, while TAHM is so prevented the TAHM shall be relieved of its obligations to provide the Services but shall endeavor to continue to perform its obligations under the Contract so far as reasonably practicable [and in accordance with Good Operating Practices], [PROVIDED that if and to the extent that the TAHM incurs additional Cost in so doing, the TAHM shall be entitled to the amount of such Cost [COST BEING DEFINED AS HAVING NO PROFIT COMPONENT] TAHM (having taken reasonable steps to mitigate the Cost)].
If and to the extent that the TAHM suffers a delay during the rescheduling Period as a result of the Event of Force Majeure then it shall be entitled to a reasonable extension for the Time for Completion.
TAHM shall be entitled to payment of the Base Monthly Charge during the period of interruption caused by the Event of Force Majeure.
The Contract Period shall be extended by a period of time equal to the period of interruption caused by an Event of Force Majeure.
Optional Termination, Payment and Release
Irrespective of any extension of time, if an Event of Force Majeure occurs and its effect continues for a period of [180] days, either the subscribing member or TAHM may give to the other a notice of termination. If the subscribing member is paying a fee during Force Majeure, then TAHM will not have a termination right, since TAHM is being paid.], which shall take effect [28] days after the giving of the notice. If, at the end of the [28]-day period, the effect of the Force Majeure continues, the Contract shall be terminated.
After termination under this Sub-Clause TAHM shall comply with the termination provisions as defined in the Termination Clause
In case of any dispute or disagreement, the first option will be to try and resolve it in a satisfactory manner between TAHM and the concerned member . If it cannot be resolved in this way the courts of Mumbai, Maharashtra India will have total jurisdiction over any matter concerning TAHM online streaming concerts
